Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Beneclips (“Platform,” “we,” “us,” or “our”), a service provided under The AI Content Creator Academy. By accessing, registering for, browsing, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Nature and Responsibilities of the Platform

Beneclips is an online video marketplace operated as a service under The AI Content Creator Academy, enabling independent creators (“Creators”) to list and sell their videos to customers (“Buyers” or “Users”).

The Platform is responsible for operating and maintaining the marketplace and providing the necessary services to facilitate the sale and delivery of video content. These services include:

• Providing Creators with tools to upload, list, organize, and sell their videos.
• Making listed videos available for Buyers to browse and purchase.
• Facilitating payment transactions through supported payment providers.
• Managing the delivery and download availability of purchased videos.
• Providing the technical infrastructure necessary to support marketplace transactions.

Beneclips acts as the marketplace operator and facilitates transactions between Creators and Buyers. However, the Platform does not automatically acquire ownership or copyright of videos uploaded by Creators.

2. Definitions

For purposes of these Terms:

• “Platform” refers to the Beneclips website, services, and associated marketplace features.
• “Content” refers to any video, recording, digital file, or media uploaded, listed, sold, or made available through the Platform, individually or as part of a bundle.
• “Creator” refers to an individual or entity that uploads, lists, or offers video content for sale.
• “Buyer” refers to an individual or entity that purchases video content through the Platform.
• “Purchase” refers to a completed transaction in which a Buyer pays for Content through the Platform.
• “Bundle” refers to a collection of videos offered together as a single purchase.

3. Creator Responsibilities and Ownership

Creators are the initial owners of the videos they upload and list for sale on Beneclips, subject to any existing third-party rights.

By uploading and listing Content, Creators represent and warrant that:

• They own the Content or have obtained all necessary rights, licenses, and permissions to sell it.
• They have obtained any necessary consent, model releases, talent releases, or other permissions from individuals appearing in the Content.
• Their Content does not violate copyright, intellectual property, privacy, publicity, or other third-party rights.
• Their Content complies with applicable laws and these Terms.
• They are responsible for the accuracy, legality, quality, and proper description of their listed Content.

Creators authorize Beneclips to host, display, promote, distribute, and deliver their Content as necessary to operate the marketplace and complete sales.

Creators retain ownership of their videos until a Buyer successfully completes a purchase. Upon a completed purchase, ownership transfers to the Buyer in accordance with Section 4.

Creators remain responsible for any claims or disputes arising from Content they upload or sell.

4. Buyer Responsibilities and Transfer of Ownership

When a Buyer successfully completes a purchase, ownership of the purchased video transfers from the Creator to the Buyer, subject to any third-party rights that cannot legally be transferred.

The transfer of ownership means:

• The Creator is no longer the owner of the purchased video, subject to any rights retained by third parties.
• The Buyer becomes the owner of the purchased video and assumes responsibility for its possession, storage, and subsequent use.
• The Buyer may download and retain a copy of the purchased video.
• The Buyer is responsible for ensuring that any subsequent use, reproduction, publication, distribution, or commercial exploitation complies with applicable laws and any disclosed third-party rights or restrictions.

Download Availability

Purchased videos are available for download for seven (7) days from the date of purchase.

Buyers are responsible for downloading and securely storing their purchased videos within this period. After the seven-day download period, Beneclips may automatically remove the video file from its servers.

The removal of a video file from the Platform does not reverse or invalidate the ownership transfer resulting from a completed purchase. Buyers are responsible for maintaining their own copies after downloading.

5. Platform Responsibilities and Limitations

Beneclips is responsible for providing and maintaining the marketplace infrastructure and facilitating the sale and delivery of video content.

However:

• The Platform does not automatically own the videos uploaded by Creators.
• The Platform does not guarantee that all information or representations provided by Creators are accurate.
• Creators remain responsible for ensuring that their videos are legally available for sale.
• Beneclips may review, restrict, or remove Content that violates these Terms or applicable laws.
• Beneclips is not responsible for disputes concerning the original ownership or rights of Content, except to the extent that liability cannot legally be excluded.
• Beneclips does not guarantee uninterrupted or error-free access to the Platform.

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.

Nothing in these Terms excludes or limits any responsibility or liability that cannot legally be excluded or limited under applicable law.

6. Prohibited Content and Conduct

Users must not upload, list, sell, purchase, distribute, or otherwise use Content that:

• Is illegal or violates applicable laws.
• Infringes copyright, intellectual property, privacy, or other third-party rights.
• Contains recordings or images of individuals who have not provided the necessary consent.
• Depicts minors in prohibited, exploitative, or inappropriate circumstances.
• Contains non-consensual intimate imagery or exploitative material.
• Contains fraudulent, misleading, or deceptive material.
• Violates the rights or safety of other individuals.

Beneclips reserves the right to reject, restrict, or remove prohibited Content and suspend or terminate accounts that violate these Terms.

Users may also report Content or activities that they believe violate these Terms.

7. Payments, Service Fees, and Refunds

Payments for purchases made through Beneclips are processed through PayMongo or other supported payment service providers.

The Platform may charge service fees, commissions, or other applicable charges for facilitating transactions. Any applicable fees will be disclosed through the Platform.

By completing a purchase, the Buyer acknowledges that:

• Payment must be successfully completed before purchased Content becomes available for download.
• All completed purchases are considered final.
• Refunds, returns, or exchanges are generally not provided once a transaction is completed, except where required by applicable law.
• Any payment dispute, duplicate charge, unauthorized transaction, or technical issue may be reviewed by the Platform.

Beneclips reserves the right to withhold, reverse, or review transactions where fraud, unauthorized activity, or violations of these Terms are reasonably suspected, subject to applicable law and payment provider requirements.

Custom Video Requests (Request Video)

For custom video orders made through the Request Video feature, a Buyer may request a refund of a paid request only while work on the request has not yet begun — that is, before the request has reached the In Production status.

No refund is available once any of the following has occurred:

• The request has entered the In Production status;
• The request has been marked Completed; or
• The requested video has already been delivered or made available for download.

This reflects that custom videos are produced specifically for the Buyer, and production work, once started or finished, cannot be returned. Any approved refund remains subject to the applicable payment provider’s requirements and to applicable law.

8. Intellectual Property Rights

Creator Content

Creators retain ownership of their videos until a successful purchase transfers ownership to a Buyer under these Terms.

By uploading Content, Creators grant Beneclips a limited, non-exclusive, worldwide license to host, store, reproduce, display, promote, and deliver the Content solely as necessary to operate the marketplace, advertise listings, facilitate sales, and fulfill purchases.

This license does not transfer ownership of the Content to Beneclips.

Platform Intellectual Property

All rights to Beneclips’ name, branding, trademarks, logos, website design, software, features, and other proprietary materials remain the property of Beneclips or their respective owners.

Users may not copy, reproduce, modify, distribute, or commercially exploit the Platform’s intellectual property without prior written permission.

9. Account Suspension and Termination

Beneclips reserves the right to suspend, restrict, or terminate accounts that:

• Violate these Terms and Conditions.
• Upload or sell prohibited or unauthorized Content.
• Engage in fraudulent or suspicious transactions.
• Attempt to misuse or disrupt the Platform.
• Violate applicable laws or third-party rights.

Beneclips may remove or restrict access to Content that violates these Terms.

Termination of an account does not automatically invalidate ownership transfers arising from previously completed purchases, subject to applicable law and third-party rights.

10. Indemnification

Creators agree to indemnify and hold harmless Beneclips, its operators, employees, and affiliates against claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising from:

• Content they upload or sell.
• Alleged infringement of third-party rights.
• Their failure to obtain necessary permissions or licenses.
• Their violation of these Terms or applicable laws.

Buyers agree to indemnify and hold harmless Beneclips against claims, damages, losses, liabilities, and expenses arising from their unlawful use, distribution, or exploitation of purchased Content or their violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Republic of the Philippines.

Any dispute arising from the use of Beneclips or transactions conducted through the Platform shall be resolved through the appropriate courts of the Philippines, subject to applicable laws and regulations.

Nothing in this section limits any rights or remedies available to consumers under applicable Philippine law.

12. Changes to These Terms

Beneclips reserves the right to update, modify, or revise these Terms and Conditions at any time.

Any revisions will become effective upon publication on the Platform, unless otherwise stated.

Continued access to or use of Beneclips after the updated Terms take effect constitutes acceptance of the revised Terms.

Users are encouraged to review these Terms periodically.
